Terms of Service

These Terms govern your access to and use of IQ Pitch ("Service"), operated by HELPMARKET IP PTY LTD (ABN 64 630 510 959), an Australian proprietary limited company ("HelpMarket", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

IQ Pitch is a software-as-a-service tool that uses large language models to analyse startup pitch decks and produce scores, commentary, and recommendations. Output is informational only and does not constitute investment, legal, financial, or professional advice. You are solely responsible for decisions you make based on the output.

2. Eligibility and accounts

• You must be at least 16 years old and able to form a binding contract.
• You must provide accurate registration information and keep it current.
• You are responsible for activity under your account and for keeping credentials secure.
• One person or legal entity per account, unless we agree otherwise in writing.

3. Your content

You retain all rights to the decks and materials you upload ("Your Content"). You grant HelpMarket a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Your Content solely to provide the Service to you. We will not use Your Content to train AI models and will not disclose it except as described in our Privacy Policy.

You represent that you have all necessary rights to upload Your Content and that it does not infringe any third-party rights or law.

4. Acceptable use

You must not:

• Upload content that is unlawful, defamatory, infringing, or contains malware.
• Reverse engineer, scrape, or attempt to extract source code or model prompts from the Service.
• Use the Service to build a competing product, or to benchmark performance for public release without our written consent.
• Attempt to bypass usage limits, rate limits, or access controls.
• Resell, sublicense, or share account access without a written commercial agreement.

5. Subscriptions, credits, and billing

• Paid plans are billed in advance on a recurring basis via our payment processor.
• Credits granted under a plan reset each billing period and do not roll over unless explicitly stated.
• Fees are stated in AUD or USD as shown at checkout and exclude taxes unless stated.
• You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by Australian Consumer Law.
• We may change pricing on 30 days' notice for renewals.

6. AI output

Output is generated by probabilistic models and may contain inaccuracies, omissions, or opinions. We do not guarantee that any score or recommendation will result in funding, investor interest, or any commercial outcome. Treat output as a starting point, not a substitute for professional advice or independent judgement.

7. Intellectual property

The Service, including its software, design, prompts, scoring frameworks, and brand, is owned by HelpMarket and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

8. Suspension and termination

We may suspend or terminate your account if you breach these Terms, if required by law, or to prevent harm to the Service or other users. You may terminate at any time by deleting your account. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

9. Warranties and Australian Consumer Law

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all implied warranties. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) that cannot be lawfully excluded. Where our liability cannot be excluded but can be limited, our liability is limited (at our option) to re-supplying the Service or paying the cost of having it re-supplied.

10. Limitation of liability

To the maximum extent permitted by law, HelpMarket will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service. Our aggregate liability for any claim is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim, or AUD $100, whichever is greater.

11. Indemnity

You agree to indemnify HelpMarket against claims, losses, and expenses arising from Your Content, your breach of these Terms, or your misuse of the Service.

12. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-app notice and take effect on the date stated. Continued use after that date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
